Agreement to Terms

By accessing or using the Valeo Labs website ("Site"), located at valeolabs.com, or purchasing any products offered through the Site, you ("Customer," "you," or "your") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations.

If you do not agree with any part of these Terms, you must immediately discontinue use of the Site and refrain from placing any orders. Valeo Labs LLC ("Valeo Labs," "we," "us," or "our") reserves the right to modify these Terms at any time. Continued use of the Site following changes constitutes acceptance of the updated Terms.

Eligibility

By using this Site and placing orders, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. You further represent that you are purchasing products solely for lawful research purposes and that you are authorized to do so under the laws of your jurisdiction.

Valeo Labs reserves the right to refuse service, cancel orders, or terminate accounts at our sole discretion if we believe these eligibility requirements are not met.

Research Use Only

By purchasing any product from Valeo Labs, you acknowledge and agree that:

• All products are sold exclusively as research materials and are labeled "For Research Use Only" or "Not for Human Consumption."
• You will not use, administer, or facilitate the use of any product on humans or animals.
• You will not market, sell, or distribute any Valeo Labs product as a finished pharmaceutical, supplement, food product, or therapeutic agent.
• You accept full responsibility for ensuring that your use of our products complies with all applicable local, state, federal, and international laws and regulations.
• Valeo Labs shall not be held liable for any misuse of products in violation of these Terms.

We reserve the right to refuse or cancel any order if we have reason to believe the products will be used in a manner inconsistent with this policy.

Products & Descriptions

We make every effort to display product descriptions, specifications, and images as accurately as possible. However, we do not warrant that product descriptions, pricing, or other content on the Site is complete, accurate, reliable, current, or error-free.

All products are subject to availability. We reserve the right to discontinue any product at any time, modify product specifications, and limit quantities without prior notice. In the event of a pricing error, Valeo Labs reserves the right to cancel any affected orders and issue a full refund.

Pricing & Payment

All prices listed on the Site are in United States Dollars (USD) unless otherwise stated. Prices are subject to change without notice. Applicable taxes, shipping, and handling charges will be calculated and displayed at checkout.

By placing an order, you authorize Valeo Labs to charge the payment method provided for the total amount of your order, including any applicable taxes and shipping fees. We accept major credit cards, debit cards, and other payment methods as displayed at checkout.

All payments are processed through secure third-party payment processors. Valeo Labs does not store your full credit card information on our servers.

Orders & Shipping

Placing an order on the Site constitutes an offer to purchase. All orders are subject to acceptance by Valeo Labs. We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, pricing errors, or suspected fraudulent activity.

Orders placed before 1:00 PM PST on business days (Monday–Friday, excluding holidays) typically ship the same business day. Valeo Labs is not responsible for delays caused by carriers, weather, customs, or other events outside our control.

Risk of loss and title for all products pass to you upon delivery to the shipping carrier. It is your responsibility to provide accurate shipping information. Valeo Labs is not liable for orders shipped to incorrect addresses provided by the customer.

Returns & Refunds

Due to the sensitive nature of research materials and to maintain product integrity, all sales are considered final. We do not accept returns on opened or used products.

If you receive a damaged, defective, or incorrect item, please contact us within 7 days of delivery at support@valeolabs.com with your order number and photos of the issue. We will evaluate the claim and, at our sole discretion, provide a replacement or refund.

Refunds, if approved, will be processed to the original payment method within 5–10 business days. Shipping costs are non-refundable unless the return is due to our error.

Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, images, product descriptions, page layouts, and software, is the property of Valeo Labs LLC or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use any content from the Site without prior written consent from Valeo Labs. The Valeo Labs name, logo, and all related product names, trademarks, and service marks are the exclusive property of Valeo Labs LLC.

Account Registration

To access certain features of the Site, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify Valeo Labs immediately of any unauthorized use of your account. Valeo Labs is not liable for any loss or damage arising from your failure to protect your account information.

Prohibited Conduct

When using the Site, you agree not to:

• Use the Site for any unlawful purpose or in violation of any applicable law or regulation.
• Purchase products with the intent to resell them as finished consumer goods, supplements, or pharmaceuticals.
• Interfere with, disrupt, or attempt to gain unauthorized access to the Site, servers, or networks connected to the Site.
• Use any automated system, bot, scraper, or data-mining tool to access or collect data from the Site.
• Transmit any viruses, malware, or other harmful code.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Attempt to circumvent any security features of the Site.

Violation of these prohibitions may result in immediate termination of your account and access to the Site, and may subject you to civil and criminal liability.

Disclaimer of Warranties

THE SITE AND ALL PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Valeo Labs does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. Valeo Labs makes no warranties regarding the suitability, reliability, or accuracy of the products for any specific research application.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VALEO LABS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to, use of, or inability to use the Site or any products.
• Any conduct or content of any third party on the Site.
• Any unauthorized access to or alteration of your data or transmissions.
• Any misuse of products purchased from the Site.

In no event shall Valeo Labs' total liability to you for all claims exceed the total amount paid by you for the specific product(s) giving rise to the claim within the twelve (12) months preceding the event.

Indemnification

You agree to indemnify, defend, and hold harmless Valeo Labs LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Site, your violation of these Terms, your misuse of any products, or your violation of any applicable law or the rights of any third party.

Third-Party Links

The Site may contain links to third-party websites or services that are not owned or controlled by Valeo Labs. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Valeo Labs shall not be responsible or liable for any damage or loss caused by your use of any such third-party content, goods, or services.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State in which Valeo Labs LLC is registered, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or your use of the Site shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue binding arbitration in accordance with the rules of the American Arbitration Association, or file a claim in the appropriate state or federal court.

You agree that any legal action or proceeding shall be brought exclusively in the courts located in the jurisdiction of Valeo Labs' principal place of business, and you consent to the personal jurisdiction of such courts.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms shall remain in full force and effect.

Entire Agreement

These Terms, together with the Privacy Policy, Shipping Policy, and Refund & Return Policy, constitute the entire agreement between you and Valeo Labs LLC regarding your use of the Site and purchase of products, superseding any prior agreements, communications, or proposals whether oral or written.

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. Valeo Labs' failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
