Terms of Sale

Scope & Applicability

These Terms of Sale ("Sale Terms") apply to every order placed through the Valeo Labs website ("Site") at valeolabs.com. They supplement the general Terms of Service and Privacy Policy. In the event of any conflict between these Sale Terms and the Terms of Service, these Sale Terms shall control with respect to the purchase and sale of products.

By completing checkout you confirm that you have read, understood, and agreed to be bound by these Sale Terms, our Terms of Service, and our Privacy Policy.

Purchaser Requirements

All purchasers must be at least 18 years of age and must be legally eligible to purchase research compounds in their jurisdiction. By placing an order you represent and warrant that:

• You are 18 years of age or older.
• You are purchasing products exclusively for lawful in-vitro research, laboratory experimentation, or educational purposes.
• You will not use, administer, or facilitate the use of any product on humans or animals.
• You are not purchasing products for resale as finished consumer goods, dietary supplements, or pharmaceuticals.
• You have verified that the purchase, possession, and intended use of the products comply with all applicable laws in your jurisdiction.

Product Intended Use

Every product sold by Valeo Labs is designated "For Research Use Only — Not for Human Consumption." This designation is printed on all product labels, packaging, and documentation.

Products are manufactured, quality-controlled, and distributed solely for use as research reference standards, analytical reagents, or in-vitro experimental materials. Valeo Labs makes no representations regarding safety, efficacy, or suitability for any therapeutic, diagnostic, or clinical application.

You assume all risk and liability associated with the handling, storage, and use of any product purchased from Valeo Labs.

Order Acceptance & Confirmation

Submitting an order on the Site constitutes an offer to purchase. No order is binding until Valeo Labs sends a written order confirmation via email. We reserve the right to accept or decline any order, in whole or in part, for any reason including but not limited to:

• Product unavailability or insufficient inventory.
• Pricing or descriptive errors on the Site.
• Suspected fraudulent, unauthorized, or illegal activity.
• Failure to meet purchaser requirements outlined in Section 02.
• Orders that exceed reasonable household or research quantities.

If an order is declined or cancelled, you will be notified promptly and any payment captured will be refunded in full to the original payment method.

Pricing, Taxes & Fees

All prices displayed on the Site are listed in United States Dollars (USD) and are exclusive of applicable taxes, duties, and shipping charges unless explicitly stated otherwise.

Valeo Labs reserves the right to change prices at any time without notice. The price in effect at the time your order is submitted will be the price charged. In the event of a pricing error discovered after order placement, Valeo Labs will notify you and offer the option to proceed at the corrected price or cancel the order for a full refund.

You are responsible for any applicable sales tax, use tax, import duties, customs fees, or other government-imposed charges associated with your order. Any such charges levied on international shipments are the sole responsibility of the purchaser.

Payment Terms

Full payment is required at the time of purchase. By providing payment information you authorize Valeo Labs and its designated third-party payment processors to charge the total order amount, including applicable taxes and shipping, to your selected payment method.

We accept the following payment methods:

• Visa, Mastercard, American Express, and Discover credit and debit cards.
• Additional payment methods as displayed at checkout.

Payment processing is handled by PCI-compliant third-party providers. Valeo Labs does not store your full card number, CVV, or other sensitive payment credentials on our servers. If a payment is declined, the order will not be processed and you will be prompted to provide an alternative payment method.

Shipping & Delivery

Orders placed before 1:00 PM PST on business days (Monday–Friday, excluding U.S. federal holidays) typically ship the same business day. Orders placed after the cutoff, or on weekends and holidays, will ship the next business day.

All shipments are dispatched via reputable carriers selected at Valeo Labs' discretion. Estimated delivery times are provided as guidelines and are not guaranteed. Valeo Labs is not responsible for delays caused by the shipping carrier, weather events, customs clearance, government action, or other circumstances beyond our reasonable control.

Risk of loss and title for all products transfer to you upon delivery of the shipment to the carrier. Once a package is in the carrier's possession, any claims for loss, theft, or damage in transit must be filed directly with the carrier. Valeo Labs will provide reasonable assistance in filing such claims upon request.

Address accuracy: You are responsible for providing a complete and accurate shipping address at checkout. Valeo Labs is not liable for orders delivered to an incorrect address provided by the customer. Re-shipments due to address errors may be subject to additional shipping charges.

International Orders

Valeo Labs may ship to select international destinations. International customers are solely responsible for understanding and complying with all import regulations, restrictions, and laws applicable to research compounds in their country or territory.

Any customs duties, import taxes, brokerage fees, or other charges assessed upon importation are the exclusive responsibility of the purchaser and are not included in the product price or shipping cost.

Valeo Labs makes no representation that products available on the Site are legal to import or possess in all jurisdictions. Orders that are seized, returned, or destroyed by customs will not be refunded unless Valeo Labs determines, at its sole discretion, that a refund or re-shipment is appropriate.

Order Modifications & Cancellations

If you need to modify or cancel an order, please contact us at support@valeolabs.com as soon as possible. We will make reasonable efforts to accommodate changes, but once an order has been dispatched to the carrier it cannot be modified or cancelled.

Valeo Labs may cancel an order at any time prior to shipment if we determine that the order cannot be fulfilled, violates these Sale Terms, or involves suspected fraudulent activity. In such cases, a full refund will be issued promptly.

Returns, Refunds & Replacements

Due to the nature of research-grade materials and the strict handling requirements necessary to maintain product integrity, all sales are considered final. We do not accept returns on products that have been opened, used, or are no longer in their original sealed condition.

Damaged, defective, or incorrect items: If you receive a product that is damaged during shipping, materially defective, or different from what was ordered, you must notify us within 7 calendar days of delivery by emailing support@valeolabs.com. Please include:

• Your order number.
• A description of the issue.
• Clear photographs showing the damage, defect, or incorrect item received.

Upon verification, Valeo Labs will, at its sole discretion, offer a replacement shipment or a refund. Approved refunds will be credited to the original payment method within 5–10 business days. Original shipping charges are non-refundable unless the issue was caused by a Valeo Labs error.

Missing packages: If a tracking number shows delivery but you have not received the package, please contact the carrier first to open an investigation. Valeo Labs will assist where possible but is not liable for packages confirmed as delivered by the carrier.

Product Quality & Certificates of Analysis

All Valeo Labs products are manufactured under controlled conditions and undergo independent third-party testing, including HPLC and/or mass spectrometry analysis, to verify identity, purity, and concentration.

A Certificate of Analysis (COA) is available for every product and can be accessed at valeolabs.com/coas. COAs are updated with each production batch. If a COA for a specific batch is not yet published, you may request it by emailing support@valeolabs.com.

While Valeo Labs strives for the highest possible purity standards, all quality specifications are provided for informational purposes related to research use. No warranty of fitness for any particular research application is expressed or implied.

Promotions, Discounts & Coupon Codes

Valeo Labs may offer promotional discounts, coupon codes, or special pricing from time to time. Unless otherwise stated, promotional offers:

• Cannot be combined with other discounts or promotions.
• Are non-transferable and have no cash value.
• Are subject to expiration dates and usage limits as specified.
• May be discontinued or modified at any time without prior notice.
• Are void where prohibited by law.

Valeo Labs reserves the right to revoke or decline any promotional code that we determine is being used in an unauthorized, fraudulent, or abusive manner.

Quantity Limits & Bulk Orders

Valeo Labs reserves the right to limit the quantity of any product purchased per order or per customer. If you require quantities beyond standard retail limits for legitimate research purposes, please contact us at support@valeolabs.com to discuss wholesale or bulk pricing arrangements.

Bulk and wholesale orders may be subject to separate terms, pricing, and lead times as mutually agreed upon in writing.

Product Availability & Backorders

Product availability is subject to change without notice. While we make every effort to maintain accurate inventory levels on the Site, certain products may become temporarily or permanently unavailable.

If a product in your order is out of stock after your order has been placed, Valeo Labs will notify you promptly and offer the option to wait for restocking, substitute an equivalent product (if available), or cancel the affected item for a full refund. Partial shipments may be sent for orders containing both in-stock and out-of-stock items.

Product Storage & Handling

Proper storage and handling of research compounds is the sole responsibility of the purchaser once products leave Valeo Labs' control. Specific storage instructions (e.g., temperature requirements, light sensitivity, reconstitution guidelines) are provided on product labels and product pages where applicable.

Valeo Labs is not liable for product degradation, contamination, or loss of potency resulting from improper storage, handling, or use after delivery. Claims related to product quality must reference products stored in accordance with the recommended conditions.

Limitation of Liability for Sales

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALEO LABS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE PURCHASE, POSSESSION, HANDLING, STORAGE, OR USE OF ANY PRODUCT, INCLUDING BUT NOT LIMITED TO:

• Injury, illness, or death resulting from misuse of products.
• Property damage arising from product handling or storage.
• Lost profits or research data.
• Regulatory action, fines, or penalties resulting from the purchaser's use of products in violation of applicable laws.

Valeo Labs' total aggregate liability for any claim arising from the sale of products shall not exceed the purchase price of the specific product(s) giving rise to the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Valeo Labs LLC, its officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to your purchase, handling, storage, or use of any Valeo Labs product, your violation of these Sale Terms, or your violation of any applicable law or regulation.

Governing Law

These Sale Terms shall be governed by and construed in accordance with the laws of the State in which Valeo Labs LLC is registered, without regard to conflict of law principles. Any disputes arising under these Sale Terms shall be resolved in accordance with the dispute resolution provisions set forth in the Valeo Labs Terms of Service.

Amendments

Valeo Labs reserves the right to update or modify these Sale Terms at any time. The effective date at the top of this page will reflect the date of the most recent revision. It is your responsibility to review these Sale Terms periodically. Continued purchases after any modification constitutes acceptance of the updated Sale Terms.
